Situations Requiring Company Name Change
1. Rebranding or Marketing Strategy
Companies may change their name to reflect a new brand identity, target audience, or business focus.
2. Merger or Acquisition
After a merger, acquisition, or partnership, the existing name may no longer represent the combined entity.
3. Expansion or Diversification
When a company diversifies into new business areas, a name change may better reflect the expanded scope.
4. Legal or Regulatory Reasons
MCA may require a name change if the current name violates naming rules, is similar to an existing company, or uses prohibited words.
5. Negative Public Perception
If a company’s current name has negative connotations or public perception issues, a new name can help restore credibility.
6. Simplification or Modernization
Companies sometimes change names to make them shorter, easier to remember, or modern for marketing and digital presence.
7. Trademark or Domain Conflicts
To avoid legal disputes over trademarks or domain names, companies may adopt a new, unique name.

Process of Company Name Change – Invenix India
Board Approval
The board of directors approves the proposal for changing the company name in a board meeting. A board resolution is passed recommending the change.
2. Shareholder Approval
A special resolution is passed by shareholders in a general meeting (EGM) approving the new name. Required supporting documents, such as explanatory statements, are prepared.
3. Reserve Unique Name (RUN) Application
The company submits the proposed new name to MCA via the RUN (Reserve Unique Name) service. MCA checks the name against existing companies and naming rules.
4. MCA Approval
MCA reviews the RUN application and, if compliant, approves the new name. The approved name is valid for 20 days, extendable if necessary.
5. Filing of INC-24 Form
The company files Form INC-24 with MCA for official approval of the name change. Along with INC-24, special resolution, altered MOA, and supporting documents are submitted.
6. MCA Certificate of Name Change
Upon approval, MCA issues a Certificate of Name Change, making the new name legally valid.
7. Updating Company Records
Invenix assists in updating MOA, ROC records, PAN, GST, bank accounts, and other statutory documents with the new name.
8. Communication & Compliance
Post name change, the company must inform all stakeholders, update branding, and ensure all statutory compliances reflect the new name.
